本服务条款（下称“本条款”）是你与 ArkStella（下称“ArkStella”或“我们”）之间具有约束力的协议，规范你对 Memo（下称“本服务”，即 Memo 网页应用）的访问和使用。
访问或使用本服务，即表示你接受本条款，以及作为本条款一部分的 《隐私政策》。如果你不同意，请不要使用本服务。
1. 本服务是什么
Memo 是一个跨设备的剪贴板：你可以在一台设备上粘贴文字或图片，在登录同一账号的其他设备上查看和复制；可以把内容分到不同的项目里，也可以加标签。内容加密保存在我们的服务器上，并在你的设备之间同步。
Memo 是方便你在自己的设备之间搬运内容的工具，不是备份服务，也不是分享或发布文件的平台。重要的内容请自己另外保存一份。
2. 谁可以使用
Memo 是面向一般用户的工具。使用本服务，即表示你能够理解并按预期使用它，并且你提供的信息真实，你提供这些信息是合法的。如果你没有独立订立本条款的法律能力，只能在父母、监护人或其他有权的成年人参与下使用本服务，由其代表你接受本条款，并对你使用本服务负责。
3. 你的账号
你用邮箱地址登录：用发到这个邮箱的一次性验证码，或者用 Google 账号。能进入你邮箱或 Google 账号的人就能登录你的 Memo，所以请保管好它们。你要对你账号下的所有活动负责；发现未经授权的使用，请尽快发邮件到 support@arkstella.com 通知我们。你不得共享、出售或转让你的账号。如果账号违反本条款，或者我们合理地认为它带来安全、法律或滥用方面的风险，我们可以暂停或终止该账号。
4. 你的内容
你存进 Memo 的内容（文字、图片、标签、项目名称等）归你所有。你授予我们一项有限的、非独占的许可，仅为了向你提供本服务而存储、加密、处理和传输这些内容。你要对你的内容负责，并保证你有权存储它，它也不违反法律、不侵犯他人的权利。
我们不会出于提供本服务以外的目的查看你的内容；但为了运行和保护本服务、调查滥用或遵守法律而确有必要时，我们可能会访问相关数据。我们如何处理你的信息，见《隐私政策》。
5. 免费使用和限制
本服务目前免费提供。为了保持服务稳定、防止滥用，我们会设置使用限制，例如单个文件的大小、项目数量、请求频率和验证码的发送次数，并且可能调整这些限制。将来如果推出付费功能，我们会事先告诉你，不会在你不知情的情况下收费。
6. 可接受的使用
你同意不做，也不帮助或允许他人做以下事情：
- 存储或传输违法、侵权或有害的内容，包括恶意软件；
- 把本服务当作公开的文件分享、分发或托管平台，或者用它大量存放与在自己设备之间复制粘贴无关的数据；
- 用自动化手段（机器人、爬虫、无头浏览器）访问本服务，超出正常人工使用的程度，或者绕过频率限制、身份验证、配额或其他技术保护；
- 不通过官方 Memo 网页应用而使用本服务的后端或接口，或者转售、代理、共享对它们的访问；
- 干扰、破坏、探测或危害本服务的运行、完整性或安全；
- 复制、镜像、抓取或重新发布本服务，对其进行反向工程、反编译或反汇编（适用法律禁止此类限制的除外），或者用本服务的代码、设计或结构制作与之竞争的产品。
7. 知识产权
本服务——包括源代码、用户界面、设计、文字、图形、逻辑，以及“Memo”和“ArkStella”的名称和标志——归 ArkStella 所有，受著作权、商标和其他法律保护。能在浏览器里看到前端代码，不代表你有权使用、复制或分发它。我们只授予你一项有限的、可撤销的、非独占、不可转让、不可再许可的权利，在本条款范围内为其预期的个人用途使用本服务。未明确授予的权利均予保留。你向我们提出的反馈或建议，我们可以永久、免费地使用，对你不承担任何义务。
8. 第三方服务
本服务依赖第三方服务商（例如托管和存储、邮件发送、用 Google 登录），也可能链接到第三方网站。我们不对第三方服务或内容负责，你对它们的使用可能受其自身条款约束。
9. 免责声明
本服务按“现状”和“现有”提供，可能存在缺陷，不附带任何形式的保证。在法律允许的最大范围内，ArkStella 不作任何明示、默示或法定的保证，包括对适销性、特定用途适用性、所有权和不侵权的任何默示保证。我们不保证本服务不中断、及时、安全或没有错误，也不保证你的内容不会丢失、损坏或延迟同步。我们可以随时修改、暂停或停止本服务的全部或部分功能。有些司法管辖区不允许排除某些保证，所以以上部分内容可能不适用于你。
10. 责任限制
在法律允许的最大范围内，对于因你使用（或无法使用）本服务而产生或与之相关的任何间接、附带、特殊、后果性、惩戒性或惩罚性损害，或任何利润、收入、数据（包括你存进本服务的内容）、商誉或其他无形损失，无论基于保证、合同、侵权（包括过失）、严格责任或任何其他法律理论，即使已被告知可能发生此类损害，ArkStella 及其所有者、管理人员、员工和供应商均不承担责任。
在任何情况下，ArkStella 对因本服务或本条款产生或与之相关的全部索赔所承担的累计总责任，以下列两者中较高者为限：（A）引起索赔的事件发生前十二（12）个月内你实际向我们支付的服务费用总额；或（B）100 美元。有些司法管辖区不允许某些责任限制，所以本节部分内容可能不适用于你；在这种情况下，我们的责任以法律允许的最小金额为限。
11. 赔偿
对于因你使用本服务、你的数据或内容、你违反本条款、违反任何法律或侵犯第三方权利而引起或与之相关的任何索赔、责任、损害、损失和费用（包括合理的律师费），你同意赔偿 ArkStella 及其所有者、管理人员、员工和供应商，为其抗辩，并使其免受损害。
12. 终止
你可以随时停止使用本服务，也可以发邮件要求删除你的账号。如果你违反本条款，或者我们合理地认为有必要保护本服务、其他用户或 ArkStella，我们可以随时暂停或终止你的访问，可以事先通知，也可以不通知。终止后，你使用本服务的权利随即结束。按其性质应在终止后继续有效的条款——包括第 4、7、9、10、11 和 13 节——在终止后继续有效。
13. 适用法律和争议解决
本条款受 ArkStella 设立地的法律管辖，不适用其冲突法规则，并排除《联合国国际货物销售合同公约》的适用。
先非正式解决。提出任何索赔之前，你同意先发邮件到 support@arkstella.com 联系我们，并尝试以非正式方式解决争议至少 30 天。
有约束力的仲裁和放弃集体诉讼。在适用法律允许的最大范围内，未能通过非正式方式解决的任何争议，将通过最终且有约束力的个人仲裁解决，而不是诉诸法院；你和 ArkStella 均放弃由陪审团审判的权利，以及参与集体、合并或代表诉讼的权利。本节不妨碍任何一方就知识产权的侵权或滥用寻求禁令或衡平法救济，也不妨碍你在有条件时向小额索赔法院提起个人索赔。如果强制性的消费者保护法律赋予你在当地法院提起诉讼的权利，本节不剥夺该权利。
14. 条款的变更
我们可能会不时更新本条款。更新时，我们会修改“最后更新”日期，并在本网址发布新版本；重大变更可能会在应用内提示。更新后你继续使用本服务，即表示你接受修订后的条款。
15. 其他
本条款与《隐私政策》共同构成你与 ArkStella 之间关于本服务的完整协议，取代此前的任何协议。任何条款被认定不可执行的，其余条款继续有效，该条款在必要的最小范围内予以限制。我们未执行某项条款，不构成对该条款的放弃。未经我们同意，你不得转让本条款；我们可以在合并、收购或资产出售时转让本条款。标题仅为方便阅读而设。
语言版本。本条款有中文和英文两个版本；两者如有不一致，以英文版本为准。

These Terms of Service (“Terms”) are a binding agreement between you and ArkStella (“ArkStella”, “we”, “us”, or “our”) governing your access to and use of Memo (the “Service”) — the Memo web application.
By accessing or using the Service, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
1. What the Service is
Memo is a cross-device clipboard. You can paste text or images on one device and view and copy them on your other devices signed in to the same account, organize them into projects, and add tags. Your content is stored encrypted on our servers and synced across your devices.
Memo is a convenience tool for moving your own content between your own devices. It is not a backup service, and it is not a platform for sharing or publishing files. Keep your own copies of anything important.
2. Who can use the Service
Memo is a general-audience tool. By using the Service you represent that you can understand and use it as intended, and that all information you provide is accurate and lawful for you to provide. If you do not have the legal capacity to enter into these Terms on your own, you may use the Service only with the involvement of a parent, guardian, or other authorized adult who accepts these Terms on your behalf and is responsible for your use of the Service.
3. Your account
You sign in with your email address — with a one-time code sent to that address, or with your Google account. Anyone who can access your email or Google account can sign in to your Memo, so keep them secure. You are responsible for all activity under your account; notify us promptly at support@arkstella.com of any unauthorized use. You may not share, sell, or transfer your account. We may suspend or terminate accounts that violate these Terms or that we reasonably believe present a security, legal, or abuse risk.
4. Your content
You own the content you store in Memo (text, images, tags, project names, and so on). You grant us a limited, non-exclusive license to store, encrypt, process, and transmit that content solely to provide the Service to you. You are responsible for your content and confirm that you have the right to store it and that it does not break the law or infringe anyone else’s rights.
We do not look at your content for any purpose other than providing the Service, but we may access the relevant data where reasonably necessary to operate or secure the Service, investigate abuse, or comply with the law. How we handle your information is described in the Privacy Policy.
5. Free use and limits
The Service is currently provided free of charge. To keep it reliable and prevent abuse, we apply usage limits — for example on file size, the number of projects, request rates, and how many sign-in codes can be sent — and we may change those limits. If we ever introduce paid features, we will tell you in advance; you will not be charged without knowing it.
6. Acceptable use
You agree NOT to, and not to help or permit anyone else to:
- store or transmit unlawful, infringing, or harmful content, including malware;
- use the Service as a public file-sharing, distribution, or hosting platform, or to store large amounts of data unrelated to copying and pasting between your own devices;
- access the Service through automated means (bots, crawlers, headless browsers) beyond what a normal human user does, or circumvent rate limits, authentication, quotas, or other technical protections;
- use the Service’s backend or APIs other than through the official Memo web application, or resell, proxy, or share access to them;
- interfere with, disrupt, probe, or compromise the Service’s operation, integrity, or security; or
- copy, mirror, scrape, or republish the Service, reverse engineer, decompile, or disassemble it (except to the limited extent this restriction is prohibited by applicable law), or use its code, design, or structure to build a competing product.
7. Intellectual property
The Service — including its source code, user interface, designs, text, graphics, logic, and the “Memo” and “ArkStella” names and logos — is owned by ArkStella and protected by copyright, trademark, and other laws. Being able to view client-side code in your browser grants you no right to use, copy, or redistribute it. We grant you only a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to use the Service for its intended personal purpose, subject to these Terms. All rights not expressly granted are reserved. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.
8. Third-party services
The Service relies on third-party providers (such as hosting and storage, email delivery, and Sign in with Google) and may link to third-party sites. We are not responsible for third-party services or content, and your use of them may be subject to their own terms.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by law, ArkStella disclaims all warranties, express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that your content will not be lost, corrupted, or delayed in syncing. We may change, suspend, or discontinue all or part of the Service at any time. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARKSTELLA AND ITS OWNERS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA (INCLUDING CONTENT YOU STORED IN THE SERVICE), GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ALL CASES, ARKSTELLA’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE TOTAL AMOUNT YOU ACTUALLY PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you; in that case our liability is limited to the smallest amount permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless ArkStella and its owners, officers, employees, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your data or content, your violation of these Terms, or your violation of any law or the rights of a third party.
12. Termination
You may stop using the Service at any time and may ask us to delete your account. We may suspend or terminate your access at any time, with or without notice, for any breach of these Terms or where we reasonably believe it is necessary to protect the Service, other users, or ArkStella. Upon termination, your right to use the Service ends. Sections that by their nature should survive — including Sections 4, 7, 9, 10, 11, and 13 — survive termination.
13. Governing law and dispute resolution
These Terms are governed by the laws of the jurisdiction in which ArkStella is established, without regard to its conflict-of-laws rules, and excluding the United Nations Convention on Contracts for the International Sale of Goods.
Informal resolution first. Before filing any claim, you agree to contact us at support@arkstella.com and attempt to resolve the dispute informally for at least 30 days.
Binding arbitration and class-action waiver. To the maximum extent permitted by applicable law, any dispute not resolved informally will be settled by final and binding individual arbitration rather than in court, and you and ArkStella waive any right to a jury trial and to participate in a class, collective, or representative action. Nothing in this section prevents either party from seeking injunctive or equitable relief for infringement or misuse of intellectual property, or bars you from bringing an individual claim in a small-claims court where available. Where mandatory consumer law gives you the right to bring proceedings in your local courts, this section does not remove that right.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date and post the new version at this URL; material changes may be highlighted in the app. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
15. General
These Terms, together with the Privacy Policy, are the entire agreement between you and ArkStella regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions stay in effect and the unenforceable provision is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Headings are for convenience only.
Languages. These Terms are available in Chinese and English. If there is any inconsistency between the two versions, the English version prevails.
